Public offer agreement
According to the current Ukrainian legislation, trading through an online store is considered distance selling. In this regard, the website of the store https://kinnon.com.ua/ is the trading platform of individual entrepreneurship Sylenko O.I. The contractual relations between the buyer and the seller individual entrepreneurship Sylenko O.I. are formalized in the form of a public offer agreement.
Pressing the "Confirm" or "Place Order" button on the order page of the online store means that the buyer, regardless of their status (individual, legal entity, individual entrepreneur), according to current Ukrainian legislation, agrees to the terms of the public offer agreement outlined below.
The public offer agreement is public, i.e., in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers, regardless of status (individual, legal entity, individual entrepreneur). By fully agreeing with this Agreement, the buyer accepts the terms and procedures for placing an order, paying for the product, delivering the product, responsibility for dishonest orders, and for non-compliance with the terms of this agreement.
The agreement is considered concluded from the moment the "Confirm" or "Place Order" button is pressed on the order page, confirming the purchase. If necessary, upon the buyer's request, the agreement can be formalized in simple written form.
Essential terms of the public offer agreement
Individual entrepreneurship Sylenko O.I. reserves the right to fail to fulfill obligations in case of force majeure situations.
5.1.2. Not to disclose any private information about the Buyer and not to provide access to this information to third parties, except in cases provided for by law or at the Buyer’s request.
- Conditional agreements
1.1. The definitions contained in this agreement are an integral part of it.
1.2. The definitions are interpreted based on their essence and the content of this agreement. Below is the list of these definitions:
- https://kinnon.com.ua/ – Trading platform, online store.
- Product – the object of the agreement between the parties, which was selected by the buyer in the online store https://kinnon.com.ua/ and placed in the shopping cart of the online store https://kinnon.com.ua/.
- Buyer – any legally competent individual, legal entity, individual entrepreneur, in accordance with current Ukrainian legislation, who visited the website https://kinnon.com.ua/, intends to purchase a product, and pay for the receipt of such product.
- Seller – individual entrepreneurship Sylenko O.I., the owner of the product offered on the online store https://kinnon.com.ua/.
- General provisions
2.1. This public offer (hereinafter referred to as the Agreement) defines the specifics of the purchase and sale of products on the website https://kinnon.com.ua/.
This offer applies to any product offered for sale (purchase) on the website https://kinnon.com.ua/. - Subject of the public offer agreement
3.1. Provision of the Buyer with access to all necessary information about the Product (which confirms its quality and safety for use), presented within the framework of the project https://kinnon.com.ua/. - Moment of conclusion of the agreement
4.1. The text of this Agreement is a public offer and is valid for all visitors of the online store https://kinnon.com.ua/, who intend, wish, and have the opportunity to purchase products for home, office, apartment, or any other institution, whether public or private.
4.2. Acceptance of the offer – the purchase of the product in the manner defined by this agreement, at the prices listed on the online resource https://kinnon.com.ua/ and agreement with the terms of payment and delivery of the product.
4.3. The fact of purchasing the Product is an unquestionable acceptance by the Buyer of the terms of this Agreement. The Buyer who used the services of https://kinnon.com.ua/ is considered to have entered into contractual relations with the Seller. - Rights and obligations of the parties
5.1. https://kinnon.com.ua/ undertakes to transfer the product to the Buyer:
- in the specified location
- in the specified quantity
- in the appropriate completeness and set, if provided
- of proper quality
- free from third-party claims
Individual entrepreneurship Sylenko O.I. reserves the right to fail to fulfill obligations in case of force majeure situations.
5.1.2. Not to disclose any private information about the Buyer and not to provide access to this information to third parties, except in cases provided for by law or at the Buyer’s request.
5.2. https://kinnon.com.ua/ has the right:
5.2.1. To change the terms of this Agreement, as well as the tariffs (prices) for Products and services, unilaterally, by posting them on the server at https://kinnon.com.ua/.
5.2.1.1. All changes take effect immediately after publication.
5.2.2. To refuse to provide services without explanation.
5.2.3. To send advertising and informational letters to buyers.
5.2.1. To change the terms of this Agreement, as well as the tariffs (prices) for Products and services, unilaterally, by posting them on the server at https://kinnon.com.ua/.
5.2.1.1. All changes take effect immediately after publication.
5.2.2. To refuse to provide services without explanation.
5.2.3. To send advertising and informational letters to buyers.
5.3. The Buyer undertakes:
5.3.1. To familiarize themselves with the content of the Agreement, the terms of the Agreement, and the tariffs (prices) offered by the Seller on all pages of the website https://kinnon.com.ua/ before entering into the Agreement.
5.3.2. For the Seller to fulfill its obligations to the Buyer, the Buyer must provide all necessary data to unequivocally identify them as the Buyer and sufficient for the delivery of the purchased Product.
8.2. All disputes and disagreements arising from the fulfillment of obligations under this Agreement are resolved through negotiations. If they cannot be resolved, the parties have the right to seek judicial protection of their interests.
5.3.1. To familiarize themselves with the content of the Agreement, the terms of the Agreement, and the tariffs (prices) offered by the Seller on all pages of the website https://kinnon.com.ua/ before entering into the Agreement.
5.3.2. For the Seller to fulfill its obligations to the Buyer, the Buyer must provide all necessary data to unequivocally identify them as the Buyer and sufficient for the delivery of the purchased Product.
- Waiver of warranty obligations
6.1. The Seller does everything possible to ensure the quality of service provided to the Buyer. The advice and information provided to the Buyer cannot be considered as warranties.
6.2. The parties are exempt from liability for non-fulfillment or improper fulfillment of obligations under the Agreement during the period of "force majeure". "Force majeure" refers to extraordinary and insurmountable circumstances that prevent the parties from fulfilling their obligations under this Agreement. These include natural disasters (earthquakes, floods, etc.), public life circumstances (military actions, emergencies, major strikes, epidemics, etc.), prohibitive measures of state authorities. During this time, the parties have no mutual claims, and each party assumes the risk of the consequences of force majeure circumstances. - Product delivery
7.1. The Buyer receives the Product via delivery or personally. The procedure for payment and receipt is specified in the "Delivery and Payment" section.
7.2. When delivering products to other cities in Ukraine, carried out by other delivery services in cooperation with "Nova Post" (hereinafter the Carrier Company), the Buyer fully and unconditionally agrees with the Cargo Transportation Rules of the "Nova Post" Company, which are available on the Carrier Company's website.
7.3. The fact of receiving the product and the absence of claims about the product’s quality is confirmed by the Buyer’s signature on the delivery note when receiving the product. For its part, individual entrepreneurship Sylenko O.I. guarantees the shipment of the product to the Carrier Company in the quantity specified and paid for by the Buyer, in the set according to the product specification, and in proper (working) condition and quality.
7.4. In case the Buyer is not present at the delivery address specified by the Buyer in the order, or the Buyer refuses to accept the product upon delivery by the carrier of the Carrier Company, the product is returned to the delivery center. Payment for the services of the Carrier Company is deducted from the amount paid by the Buyer for the product to individual entrepreneurship Sylenko O.I. The remaining amount will be refunded to the Buyer based on their letter sent to kinnonteam@gmail.com with the specified bank account number to which the funds should be returned.
8.2. All disputes and disagreements arising from the fulfillment of obligations under this Agreement are resolved through negotiations. If they cannot be resolved, the parties have the right to seek judicial protection of their interests.
